Bitazza’s Terms and Conditions for Freedom Card

These terms and conditions set forth the agreement between Bitazza Co., Ltd. (“Bitazza”, “Company”, “We”, or “us”) and you (“you” or “Cardholder”) to use the Freedom Card (“Bitazza’s Terms”), the Visa prepaid card, including virtual and physical card, issued and owned by T2P Co., Ltd. (“Freedom Card” or “Card”), a payment service provider who is licensed and regulated under the Bank of Thailand and is the member of Visa payment network (“T2P”).

By subscription or using the Freedom Card, you agree to be bound by Bitazza’s Terms and the terms and conditions of T2P relating to the Freedom Card ("T2P’s Terms"). Bitazza’s Terms must be read in conjunction with T2P’s Terms. In the event of a conflict between Bitazza’s Terms and T2P’s Terms, the provisions of T2P’s Terms will prevail. Bitazza’s Terms may be amended from time to time, at the sole discretion of Bitazza. By continuing using the Freedom Card, it shall be deemed that you have fully agreed to be bound by any updated or revised version of Bitazza's Terms.

You may be required to verify your identity through T2P’s KYC process and to provide any necessary information upon the requirements under the terms and conditions of T2P to use DeepPocket Account.

For this Bitazza’s Terms, “BTZ” means a digital token issued by Bitazza’s affiliates.

2.1 Staking APY. You can earn Staking APY upon the staking of FDM in your Bitazza Wallet during the Lock-Up Period as published on our website. The amount of Staking APY you earn will vary depending on your card tier and must be subject to the specific conditions of Staking APY as published on our website. APY earned from staking will be transferred to your Bitazza Wallet upon the completion of the Lock-Up Period.

2.2 FDM Rebate. You can earn FDM Rebate with the conditions below;

i.) You deposit funds from your Bitazza Wallet to your Card and make a transaction over THB 500.

ii.) Your transaction is not made to the restricted merchants or expenses (“Restricted Merchants and Expenses”). You can find the updated list of Restricted Merchants and Expenses on our website.

iii.) Your transaction is made from your Card. If you make the transaction directly from your DeepPocket Wallet, you will not earn the FDM Rebate from such transaction.

iv.) FDM Rebate will be calculated from your spending amount exceeding THB 500/sales slip. For example, if you spend THB 800, the eligible FDM Rebate will be calculated for THB 300.

v.) FDM Rebate will be credited to your Bitazza Wallet. You can redeem FDM Rebate by clicking “Claim” your FDM Rebate in our application. Bitazza will transfer the FDM Rebate to your Bitazza Wallet within 7-15 days after the date that we receive the transaction report from Visa. However, if you make the transaction to some specific merchant as set out on our website (“Special Merchant”), the date that we credit or transfer the FDM Rebate to your Bitazza Wallet may be longer than 7-15 days.

Notwithstanding, you agree and acknowledge that your right to receive the FDM Rebate will be forfeited when you cancel the transaction and you are refunded. If we have transferred the FDM Rebate to your Bitazza Wallet for a certain transaction and that transaction is later canceled, you will be liable to return us and we have the right to deduct such amount from your Bitazza Wallet.

vi.) The number of FDM Rebate you earn will depend on your card tier and must be subject to the Monthly FDM Rebate Reward Cap as specified below.

vii.) Other conditions relating to FDM Rebate as published on our website.

2.3 Rewards Conditions. The conditions of the Staking APY and FDM Rebate as set forth in Section 2.1 and 2.2 are the general conditions. We will publish other conditions relating to the Staking APY and FDM Rebate on our website (“Reward Conditions”). Bitazza reserves the right to change the Reward Conditions at any time without any prior notice or liability to the Cardholder.

3. Suspension and Termination.

3.1 Causes for Suspension and Termination. We reserve an absolute right to forfeit your rights to earn the Rewards and/ or suspend or terminate your Bitazza’s account, at any time, without any prior notice or liability to you if;

i.) we are required by any applicable law, regulations, court orders, or any other authorities to do so;

ii.) we suspect that your transaction relating to the Rewards involves any illegal activities, including without limitation, money laundering, terrorist financing, fraud, or any other crime;

iii.) we suspect or found that you exploit or try to exploit the Rewards or your rights under this Bitazza’s Terms in any manner rather than those allowed by Bitazza’s Terms and T2P’s Terms; or

iv.) we mistakenly transfer the Rewards to you for any reason, regardless of whether such error arises from our system, employee or any of our third party service providers.

v.) any other reasons as we deem appropriate

3.2 Consequences after Termination.

In the event that i.) your Card is terminated for any reason; or ii.) your rights to earn the Rewards is forfeited; or iii.) your Bitazza’s account is terminated under clause 3.1 (Causes for Suspension and Termination) ( i, ii, and iii. collectively referred to “Termination”), your rights to the Rewards will be as follow;

3.2.1 FDM Staked. You will be returned all principal amount of your FDM staked in your Bitazza Wallet.

3.2.2 FDM Rebate. You can redeem any unclaimed FDM Rebate. The amount of FDM Rebate you are entitled to will be calculated from the transaction up to the effective date of Termination

3.2.3 Staking APY. Your rights to earn Staking APY will be forfeited upon the effective of Termination, and you will no longer receive any Staking APY. However, you will not be required to return any Staking APY in which you have received prior to the effective date of termination.

3.2.4 Rewards transferred under 3.1 iv.) We reserve the right to deduct any amount of mistakenly transferred Rewards from your Bitazza Wallet or even require you to return us any mistakenly transferred Rewards in the event that your Bitazza Wallet balance is not sufficient to cover our loss.
